1. Acceptance of Terms
By accessing or using the services, software, or platform provided by First Cordon (“Service”), the client agrees to these Terms of Service. If the client does not agree, they may not use or implement the Service.
2. Service Description
First Cordon provides AI-driven software that integrates with existing security camera systems to assist in identifying potential threats, including the detection of weapons. Upon detection, the software triggers a response protocol configured by the client and/or their response teams.
3. No Guarantee of Threat Prevention
The Service is intended as a support tool for enhancing situational awareness. It does not guarantee the prevention of violence, threats, injury, or property loss. The Service is not a substitute for a comprehensive security strategy, emergency response planning, or trained personnel.
4. Client RESPONSIBILITIES
The client is solely responsible for:
- Ensuring that installed hardware is compatible, properly maintained, and supported;
- Providing accurate and current contact and escalation details;
- Training personnel to interpret alerts and follow response procedures;
- Maintaining consistent power and internet connectivity to the system.
5. Limitation of Liability
To the maximum extent permitted by law:
- First Cordon shall not be liable for any indirect, incidental, special, or consequential damages, including injury, loss of life, property damage, reputational harm, or business interruption;
- The total cumulative liability of First Cordon for any claim shall not exceed the amount paid by the client for the Service in the twelve (12) months prior to the event giving rise to the claim.
6. Indemnification
The client agrees to indemnify, defend, and hold harmless First Cordon, its officers, employees, contractors, and affiliates from and against any claims, damages, losses, or legal expenses arising out of:
- The use or misuse of the Service;
- Any third-party claim related to reliance on the Service;
- Any breach of these Terms or of applicable law by the client or its personnel.
7. Data and Privacy
First Cordon does not collect, store, or transmit any data during routine operation of the Service. Data may be temporarily collected and processed only during the system’s initial configuration and approval phase, solely for the purposes of calibration and setup validation. After final client approval, no ongoing data is accessed, retained, or stored by First Cordon.
Clients are responsible for all data collected by their own security infrastructure, including compliance with applicable federal and state privacy laws. This includes ensuring proper notice, consent, and storage practices for any surveillance conducted through their systems.
8. Third-Party Systems
First Cordon is not liable for performance, failure, or security breaches involving third-party hardware, software, networks, or personnel. The client assumes responsibility for the functionality and reliability of all third-party infrastructure integrated with the Service.
9. Force Majeure
First Cordon shall not be held liable for any delay or failure in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, terrorism, civil unrest, cyberattacks, government restrictions, internet outages, or labor disputes.
10. Governing Law
These Terms are governed by the laws of the United States and apply in all states, except where pre-empted or restricted by state-specific laws. Any disputes shall be brought in a federal or state court of competent jurisdiction. Venue may be selected at First Cordon’s discretion, with preference for neutral jurisdictions such as Delaware or New York.
11. Modifications
First Cordon may update these Terms at any time. Continued use of the Service following any updates constitutes acceptance of the modified Terms.
